Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the OptiLens platform, including the website at optilens.ai and the application at app.optilens.ai (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Definitions

• "OptiLens" refers to the AI-powered Conversion Rate Optimization (CRO) audit platform and all associated services.
• "User" or "you" refers to any individual or entity that accesses or uses the Service.
• "Content" refers to audit reports, CRO scores, revenue projections, prioritized findings, and any other output generated by the Service.
• "Subscription" refers to a paid plan that grants access to specific features and usage limits.
• "Organization" refers to a workspace created within OptiLens.

3. Account Registration

To use OptiLens, you must create an account by providing your name and email address. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately at support@optilens.ai if you suspect unauthorized access

You must be at least 18 years old to create an account.

4. Description of Services

OptiLens provides an AI-powered CRO audit platform that includes:

• Automated website CRO audits powered by specialized AI agents across 6 dimensions (UX, Copy, SEO, Performance, Revenue, Accessibility)
• CRO scoring (0 to 100 scale) with prioritized issue detection and ICE scoring
• Revenue leak identification with estimated dollar-value impact
• Full multi-tab report with PDF and Excel export (Pro plan)
• Revenue projection modeling, enhanced with GA4 and GSC integration (Pro plan)
• Shareable public report URLs (Pro plan)
• Monthly automated re-audits (Pro plan)

Features and availability vary by subscription plan. We reserve the right to modify, suspend, or discontinue any part of the Service with at least 30 days' notice for material changes.

5. Subscription Plans and Pricing

OptiLens offers two subscription tiers:

All prices are in US Dollars (USD). The Free plan includes 1 audit per month for 1 website. The Pro plan includes 15 audits per month across up to 5 websites, with additional audits available at $8 per audit. Feature availability is determined by your plan tier.

The Free plan serves as the try-before-pay entry point. You can run your first audit at no cost and upgrade to Pro when you need more audits, integrations, or revenue analysis.

6. Billing and Payments

By subscribing, you agree to the following:

• Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan selected.
• Automatic Renewal: Subscriptions renew automatically unless canceled before the renewal date.
• Price Changes: We may adjust pricing with at least 30 days' advance notice. Changes take effect at the start of your next billing cycle.
• Payment Processor: All payments are processed by LemonSqueezy. You authorize LemonSqueezy to charge the payment method on file for all applicable fees.
• Failed Payments: If a payment fails, we may suspend access until the payment issue is resolved.

7. Usage Limits and Fair Use

• Maximum of 5 pages per audit to ensure quality and prevent timeouts
• Maximum of 3 concurrent audits in the processing queue per organization
• Audit queue priority is determined by plan tier: Pro, then Free
• Free plan is limited to 1 audit per month; Pro plan is limited to 15 audits per month, with additional audits available at $8 per audit

Excessive or abusive usage that degrades the Service for other users may result in temporary throttling or account review.

8. Acceptable Use Policy

You agree to use OptiLens only for lawful purposes.

9. Intellectual Property

Platform IP: All rights, title, and interest in the OptiLens platform, including software, algorithms, AI pipelines, branding, and documentation, remain our exclusive property.

Your Content: You retain ownership of data, URLs, and content you submit. You grant OptiLens a limited, non-exclusive license to process your data solely for delivering the Service.

Generated Content: Audit reports and other AI-generated outputs are licensed to you for use in your business operations. You may use, modify, and distribute these outputs. OptiLens retains no ownership claim over generated content specific to your audits.

10. AI-Generated Content Disclaimer

OptiLens uses artificial intelligence to generate findings, recommendations, and revenue projections. You acknowledge and agree that:

• AI-generated outputs are recommendations and should be reviewed before implementation
• Revenue projections are estimates based on available data and industry benchmarks; actual results may vary
• CRO scores are calculated using a proprietary hybrid formula combining deterministic signals and AI analysis, and may vary between audits
• OptiLens does not guarantee specific conversion improvements or revenue outcomes

11. Third-Party Integrations

OptiLens integrates with third-party services including Google Analytics 4 and Google Search Console. Your use of these integrations is subject to the respective third-party terms and privacy policies. OptiLens accesses third-party data only with your explicit OAuth authorization and does not store third-party credentials in plaintext.

12. Shareable Report URLs

Pro plan subscribers can generate public shareable URLs for their audit reports. Shareable report URLs are accessible without authentication; you are responsible for managing who you share those links with. Do not share reports that contain information you do not want visible to the public.

13. Service Availability

We target 99.5% monthly uptime for the Platform, excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 24 hours in advance. We do not guarantee uninterrupted access and are not liable for downtime caused by factors beyond our reasonable control.

14. Limitation of Liability

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
• In no event shall OptiLens be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to OptiLens in the 12 months preceding the claim

15. Indemnification

You agree to indemnify, defend, and hold harmless OptiLens, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

16. Termination

• By You: You may cancel your subscription and delete your account at any time from Settings or by contacting support@optilens.ai.
• By OptiLens: We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees after reasonable notice.

Upon termination, your right to use the Service ceases immediately. Data is retained for 30 days following termination, after which it is permanently deleted unless required by law.

17. Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemic, government actions, internet infrastructure failures, or third-party service outages (including AI model provider outages).

18. Governing Law and Disputes

Any disputes arising from these Terms shall first be attempted through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration. Each party shall bear its own costs. The arbitrator's decision shall be final and binding.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-Platform notice at least 14 days in advance. Continued use after the effective date constitutes acceptance.

20. Severability

If any provision is found unenforceable or invalid, it shall be limited or eliminated to the minimum extent necessary so that these Terms remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy, GDPR and CCPA Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and OptiLens.
